Terms and Conditions for the Sale and Delivery of Goods - Rosvia.com (MB' Y.S. Global Ventures)

These Terms and Conditions (“Terms”) govern all purchases made through Rosvia.com, operated by MB Y.S. Global Ventures (the “Seller”). By placing an order on this Website, the individual or entity (the “Buyer”) agrees to be bound by these Terms, which define the rights and obligations of both Parties in relation to the sale and delivery of goods.

Definitions

    • Buyer – The individual or entity purchasing or agreeing to purchase goods from the Seller.

    • Seller – MB Y.S. Global Ventures, operating under the trade name Rosvia.com.

    • Goods – All items or services made available for sale on Rosvia.com.

    • Price – The total amount payable for the Goods, excluding additional charges such as shipping, insurance, duties, or taxes.

    • Conditions – These Terms and any supplemental written agreements between the Seller and Buyer.


    2. Formation of Contract

    - The placement of an order on the Website constitutes an offer by the Buyer to purchase Goods in accordance with these Terms.

    - The contract becomes legally binding once the Seller issues an order confirmation via email.

    - These Terms are the sole governing agreement between the Parties and supersede any other terms proposed by the Buyer, including those contained in purchase orders or correspondence.

    - The Seller reserves the right to accept, reject, or cancel any order at its discretion, including where products are out of stock, incorrectly priced, or restricted for sale in the Buyer’s country.


    3. Price and Payment

    • All prices displayed on Rosvia.com are stated in the applicable currency and are exclusive of taxes, shipping fees, or import duties unless otherwise indicated.
    • The Price confirmed in the order acknowledgment is final and not subject to adjustment after payment.
    • The Buyer must complete payment in full before order processing begins, unless expressly agreed otherwise in writing.
    • The Buyer shall not withhold, offset, or deduct any amount against the Seller’s invoices for any reason.


    4. Bank Transfer Fee Support Policy

    - For Buyers who remit payment via international bank transfer, the Seller offers partial or full reimbursement of transfer fees as store credit, subject to the following conditions:

    • Orders between $300 and $800 – reimbursement of up to $30 in store credit.
    • Orders above $800 – reimbursement of the full transfer fee as store credit.
    • Orders below $300 – no reimbursement is provided.

    - Proof of incurred bank fees (such as a transaction receipt or statement) must be submitted to info@rosvia.com within 30 days of payment.

    - Store credits are non-transferable and may be used only for future purchases on Rosvia.com.


    5. Professional Use and Buyer Eligibility

    • All products available on Rosvia.com are intended strictly for licensed professionals, authorized clinics, or certified distributors.
    • By placing an order, the Buyer confirms that they are duly qualified and legally permitted in their jurisdiction to purchase, import, and use the products.
    • The Buyer is solely responsible for ensuring compliance with all applicable laws, licenses, and certifications regarding acquisition, possession, and use of the Goods.
    • The Seller does not verify licensure and accepts no liability for purchases made by individuals or entities misrepresenting their professional status.

    6. Professional Verification Procedure

    - Manual Verification Requirement
    Orders containing products labelled “For Professional Use Only” are subject to manual verification. Such orders will not be automatically fulfilled until the customer’s professional credentials have been reviewed and confirmed by our compliance team.

    - Direct Customer Contact
    Within 24 hours of receiving an order, a member of our compliance team will reach out to the customer (via email, phone, or WhatsApp) to verify the following:

    The customer’s professional background or clinic information

    Proof of medical or cosmetic certification/license (where applicable)

    The customer’s intended use for the product

    Verification Outcome

    If the credentials are successfully verified, the order will proceed to fulfilment.

    If the customer fails to respond or does not provide sufficient documentation within 48–72 hours, the order will be cancelled, and the customer will be notified accordingly.


    7. Limitation of Seller’s Role

    - The Seller’s role is limited to website operation, order management, payment confirmation, and coordination with manufacturers and logistics providers.

    -  The Seller does not:
    • Provide medical or legal advice;
    • Train or certify Buyers in product use;
    • Assume responsibility for misuse, off-label use, or unqualified application of products.


    8. Delivery of Goods

    - Orders will be shipped to the address provided by the Buyer at checkout. The Buyer must ensure the accuracy of this information.

    - The Seller will issue tracking details via email once the order has been dispatched. The Buyer is responsible for monitoring delivery progress and ensuring receipt.

    - Estimated shipping times are outlined in the Shipping Policy and may vary by destination.

    - Cross-border purchases may incur customs duties or VAT, which are not included in the product price.

    - Temperature-sensitive items (such as dermal fillers or toxins) are packed in insulated containers with ice packs to maintain stability during transport.

    - If the Seller requests Buyer confirmation (e.g., regarding availability or substitutions) and no reply is received within 24 hours, the order may be shipped as originally placed or held at the Seller’s discretion.

    - Claims for missing or incorrect items must include a clear unboxing video and be submitted within 30 days of delivery.



    9. Customs, Import, and Regulatory Compliance

    • The Buyer is solely responsible for ensuring that the purchase, importation, and use of the Goods comply with all applicable laws and regulations in their jurisdiction.
    • The Buyer must bear any import taxes, duties, or licensing fees applicable in their country.
    • The Seller provides required export documentation but cannot influence customs decisions.
    • The Seller is not liable for confiscations, delays, or refusals by customs or regulatory bodies.


    10. Private Clients and Unlicensed Purchases

    - Orders placed by unlicensed individuals or private consumers are not encouraged.

    - The Buyer assumes full responsibility for any regulatory breach, misuse, or customs issue resulting from a purchase made without appropriate professional qualification.

    - The Seller may, at its sole discretion, cancel and refund such orders (less processing fees) or request proof of professional eligibility before fulfilment.

    - The Seller has no obligation to verify credentials and bears no liability for misrepresentation by the Buyer.


    11. Refunds, Returns, and Replacements

    • Refunds, returns, or replacements are processed according to the Refund Policy, which forms an integral part of these Terms.
    • Claims are valid only when submitted within 30 days of delivery and supported by clear photo or video evidence.
    • Refunds for buyer’s remorse are accepted only for unopened, unused, and undamaged items returned within 30 days.
    • Issues related to customs clearance or import delays must be resolved directly with the relevant authority.
    • Refunds for duplicate payments will be issued as store credit, unless otherwise agreed.
    • Refunds are processed only after complete and accurate bank or payment details are received.



    12. Acceptance of Goods

    •  Goods are deemed accepted if no complaint or claim is submitted within 24 hours of delivery.
    • The Buyer must inspect the Goods upon receipt and notify the Seller immediately of any visible defects or discrepancies.



    13. Title and Risk

    • Risk of loss or damage passes to the Buyer upon delivery to the shipping carrier or upon receipt at the destination, whichever occurs first.
    • Title to the Goods remains with the Seller until full payment is received.



    14. Warranties and Liability

    - The Seller warrants that the Goods correspond to their description at the time of delivery.

    - The Seller makes no additional express or implied warranties regarding fitness for a particular purpose or specific medical outcomes.

    - To the maximum extent permitted by law, the Seller’s total liability shall not exceed the amount paid by the Buyer for the affected order.



    15. Reviews and Content Submissions

    1.  Buyers are encouraged to provide feedback and product reviews that are accurate, respectful, and relevant.
    2.  Content containing offensive language, competitor references, or misleading information will be removed.
    3. By submitting text, photos, or videos, the Buyer grants Rosvia.com a non-exclusive, royalty-free licence to use such materials for marketing, promotional, or informational purposes, while respecting personal privacy.


    16. Promotional and Sale Terms

    - Orders placed during promotional events or sales are final once payment is confirmed.

    - Discounts must be applied at checkout; retroactive discounts will not be honoured.

    - Refunds during sales reflect the discounted price paid, not the original value.

    - Due to high demand, shipping delays may occur during sales.

    - Free gifts or special requests during promotions are not guaranteed.

    17. Governing Law and Jurisdiction

    - These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania.

    - Any dispute arising under or in connection with these Terms shall first be resolved through good-faith negotiation.

    - Failing amicable resolution, disputes shall be submitted to arbitration in Vilnius, Lithuania, in accordance with the rules of the Vilnius Court of Commercial Arbitration.



    18. Amendments to the Terms

    • The Seller reserves the right to modify or update these Terms at any time.
    • Updates will be posted on Rosvia.com and will take effect immediately upon publication.
    • Continued use of the Website constitutes acceptance of the revised Terms.

    Our products are supplied exclusively to licensed healthcare professionals and registered medical entities. Products must be used only by qualified practitioners and, where applicable, only with a valid prescription and in accordance with relevant medical and regulatory requirements.

    • A valid and verifiable professional license is mandatory before order approval.
    • Where applicable, a valid prescription may also be required.
    • Orders from unauthorized or unlicensed individuals or entities will be rejected.
